Terms of Service
These Terms of Service ("Terms") govern your access to and use of WireFrame(OS), the software platform, website, and related services (together, the "Service") operated by WireFrame OS Holdings LLC ("WireFrame," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.
1. What the Service is
WireFrame(OS) is a business-to-business software platform for managing custom and build-to-order production: briefs, bidding, quotations, prototypes, production checkpoints, communications, and delivery records between buyers and their suppliers. The Service records project activity as entries in an append-only event log so that both sides share one verifiable history.
2. Accounts
You must provide accurate information when creating an account and keep your login credentials secure. You are responsible for all activity under your account. Accounts are for business use; you must be at least 18 years old and able to form a binding contract.
3. Subscriptions, trials, and billing
Paid plans are billed as monthly subscriptions. Current plans and prices are listed at wireframeos.com. New subscriptions include a 14-day free trial; your payment method is collected at signup and the first charge occurs when the trial ends, unless you cancel before then. Optional add-ons (such as extra seats or supplier slots) are added to the same monthly subscription and prorated. Payments are processed by Stripe; we do not store your card number. Applicable taxes may be added where required by law.
You may cancel at any time. Cancellation takes effect at the end of the billing period already paid for — no further charges are made, and paid features remain available until that period ends. Except where required by law, fees already paid are non-refundable.
4. Your content and records
You retain ownership of the content you submit to the Service — briefs, photographs, drawings, quotes, messages, and files ("Customer Content"). You grant us a limited license to host, process, display, and transmit Customer Content solely to operate and improve the Service. You are responsible for having the rights to the content you upload.
The Service is built around a durable record: project events are retained in an append-only log, and canceling or downgrading a plan pauses features but does not delete your records — they remain readable to their participants. Because the event log is tamper-evident by design, individual entries cannot be edited or removed retroactively.
5. Acceptable use
You agree not to misuse the Service — including attempting to breach its security, interfering with other users, uploading unlawful or infringing content, using the Service to send spam, or reverse-engineering the platform except where permitted by law. We may suspend accounts that violate these Terms, after notice where practical.
6. Optional AI features
Certain features can send project data to third-party AI providers for analysis (for example, an optional deep review of a production run). These features are off by default and run only after an account owner explicitly enables them. Enabling them is recorded on the account's event log as consent.
7. Intellectual property
The Service, including its software, design, and branding, is owned by WireFrame OS Holdings LLC and its licensors and is protected by intellectual-property laws. These Terms do not grant you any rights to the Service other than the right to use it as intended while your account is in good standing.
8. Third-party relationships
WireFrame(OS) is a workspace between buyers and suppliers; we are not a party to the commercial contracts formed between them. Decisions about awards, pricing, production, payment between the parties, and delivery are made by the users involved. We are not responsible for the quality, safety, legality, or delivery of goods produced or procured through the Service.
9. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
10. Limitation of liability
To the maximum extent permitted by law, WireFrame OS Holdings LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or related to the Service. Our total liability for any claim will not exceed the amounts you paid us for the Service in the twelve months before the event giving rise to the claim.
11. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access for material breach of these Terms. Consistent with Section 4, termination pauses features; it does not erase the record, which remains readable to its participants.
12. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will give notice through the Service or by email before it takes effect. Continued use after the effective date constitutes acceptance.
13. Governing law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts of Wyoming, and each party consents to their jurisdiction.
